Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") form a binding agreement between you and Appwarp ("Appwarp", "we", "us" or "our") and govern your access to and use of appwarp.io and our applications, including StockTwin, FraudSentry, ChatIA and RefBoost (collectively, the "Services"). By creating an account or using the Services you agree to these Terms. If you are using the Services on behalf of a business, you represent that you are authorised to bind that business.

2. Description of the Services

Appwarp provides a suite of e-commerce applications that connect to your online store to detect fraud, synchronise inventory, automate conversations, power referrals and related features. We may add, modify or discontinue features over time.

3. Accounts and eligibility

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorised use.

4. Subscriptions, billing and trials

• Plans and fees — paid plans are billed in advance on a recurring basis (monthly or annually) at the rates shown when you subscribe.
• Free trials — where offered, a trial converts to a paid subscription at the end of the trial unless cancelled beforehand.
• Renewals — subscriptions renew automatically until cancelled. You can cancel at any time, effective at the end of the current billing period.
• Refunds — fees are non-refundable except where required by law or expressly stated.
• Taxes — fees are exclusive of applicable taxes, which you are responsible for.

5. Acceptable use

You agree not to: (a) use the Services unlawfully or in breach of third-party rights; (b) attempt to gain unauthorised access to, interfere with or disrupt the Services; (c) reverse engineer, copy or resell the Services except as permitted by law; (d) upload malicious code; or (e) use the Services to send spam or to process data you have no right to process.

6. Intellectual property

The Services, including all software, content, trademarks and branding, are owned by Appwarp or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. You retain all rights to your own data and content.

7. Third-party platforms

The Services integrate with third-party e-commerce platforms and payment processors. Your use of those platforms is governed by their own terms, and we are not responsible for their availability, acts or omissions.

8. Privacy

Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

9. Disclaimer of warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, error-free or fully secure.

10. Limitation of liability

To the maximum extent permitted by law, Appwarp will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill. Our total liability arising out of or relating to the Services will not exceed the amounts you paid to us in the twelve months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold Appwarp harmless from any claims, losses and expenses (including reasonable legal fees) arising from your use of the Services, your content or data, or your breach of these Terms.

12. Termination

You may stop using the Services and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms or if required to protect the Services or other users. On termination, your right to use the Services ends; provisions that by their nature should survive will survive.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date. Continued use of the Services after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws applicable at Appwarp's principal place of business, without regard to conflict-of-laws rules. The courts of that jurisdiction will have exclusive jurisdiction over any disputes, except where mandatory local law provides otherwise.
