Terms of Service

These Terms of Service ("Terms") constitute a legal agreement between you ("Merchant", "you") and Craft Lab S.L.U. ("we", "us", "our"), a company registered in Spain, governing your use of the RefBoost application (the "App") available through the Shopify App Store.

By installing or using RefBoost, you agree to be bound by these Terms. If you do not agree, do not install or use the App.

1. Description of Service

RefBoost is a referral program management application for Shopify stores. The App enables Merchants to create and manage referral campaigns, track referrals, automate reward distribution, and communicate with customers through automated transactional emails. The App operates within the Shopify platform and relies on Shopify APIs to function.

2. Account and Installation

  • You must have an active Shopify store to install and use RefBoost.
  • By installing the App, you authorize us to access your Shopify store data as permitted by the Shopify API scopes you approve during installation (read_customers, write_discounts, read_orders, read_products).
  • You are responsible for maintaining the security of your Shopify account credentials.
  • You must provide accurate and complete information when configuring the App.

3. Plans and Pricing

3.1 Subscription Plans

RefBoost offers a free plan and paid subscription plans (Starter, Growth, Pro) with varying features, usage limits, and commission rates. Current pricing and plan details are available within the App's Billing page.

3.2 Billing

  • All paid subscriptions are billed through the Shopify Billing API as recurring application charges on your Shopify invoice.
  • Paid plans include a 7-day free trial on first upgrade.
  • Subscriptions renew automatically each billing cycle unless cancelled.

3.3 Commission

  • In addition to the monthly subscription fee, RefBoost charges a commission on revenue generated through referral-driven purchases (the referred friend's first order).
  • Commission rates and monthly caps vary by plan and are displayed on the Billing page.
  • Commissions are charged as Shopify usage charges attached to your active recurring subscription.
  • Once the monthly commission cap is reached, no further commissions are charged for the remainder of that billing cycle.

3.4 Cancellation

  • You may cancel your subscription or downgrade to the free plan at any time through the App's Billing page.
  • Upon cancellation, your plan reverts to the free tier immediately. No refunds are issued for partial billing periods.
  • Uninstalling the App from your Shopify store automatically cancels your subscription.

4. Acceptable Use

You agree to use RefBoost in compliance with all applicable laws and regulations. You shall not:

  • Use the App for any unlawful, fraudulent, or deceptive purpose.
  • Send unsolicited communications (spam) through the App's email features.
  • Manipulate referral data, fabricate referrals, or engage in self-referral schemes.
  • Attempt to circumvent usage limits, billing, or security measures.
  • Use the App in a manner that violates Shopify's Acceptable Use Policy or any third-party rights.
  • Reverse engineer, decompile, or disassemble any part of the App.

5. Merchant Responsibilities

  • You are solely responsible for the content of your referral campaigns, email templates, and any communications sent to your customers through the App.
  • You are responsible for ensuring your referral program complies with applicable consumer protection, advertising, and privacy laws in your jurisdiction.
  • You must obtain any necessary consents from your customers before enrolling them in referral programs or sending them communications through the App.
  • You are responsible for configuring fraud prevention settings appropriately for your store.
  • If you enable third-party integrations (Klaviyo, Mailchimp, Twilio, outgoing webhooks), you are responsible for compliance with those services' terms and for the data shared with them.

6. Intellectual Property

The App, including its design, code, features, documentation, and branding, is the intellectual property of Craft Lab S.L.U. and is protected by applicable copyright and intellectual property laws. These Terms do not grant you any ownership rights in the App.

You retain ownership of all content you create using the App, including custom email templates, campaign configurations, and referral data associated with your store.

7. Data and Privacy

Our collection, use, and handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

  • You acknowledge that RefBoost processes End Customer personal data (name, email, IP address, order information) on your behalf to operate the referral program.
  • With respect to End Customer data, you are the data controller and we are the data processor as defined under the GDPR.
  • You are responsible for providing appropriate privacy notices to your customers regarding the use of RefBoost and the data it processes.
  • Upon uninstallation, we will delete all data associated with your store within 30 days in accordance with Shopify's data protection requirements.

8. Third-Party Services

RefBoost integrates with and relies on third-party services, including but not limited to Shopify, Resend, Klaviyo, Mailchimp, and Twilio. We are not responsible for the availability, accuracy, or performance of these third-party services. Your use of third-party integrations is subject to those services' respective terms and policies.

9. Service Availability

  • We strive to maintain the App's availability but do not guarantee uninterrupted or error-free service.
  • We may perform maintenance, updates, or modifications to the App at any time, which may temporarily affect availability.
  • The App depends on the Shopify platform and its APIs. Changes to Shopify's platform may affect the App's functionality.
  • We reserve the right to suspend or terminate access to the App for violations of these Terms or for any reason with reasonable notice.

10. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the App will meet your specific requirements, that the App will be uninterrupted, timely, secure, or error-free, or that the results obtained from using the App will be accurate or reliable.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • Craft Lab S.L.U. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of the App.
  • Our total aggregate liability for all claims arising out of or related to these Terms or the App shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.
  • These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

12. Shopify Relationship

RefBoost is developed and maintained by Craft Lab S.L.U. and is not affiliated with, endorsed by, or sponsored by Shopify Inc. Shopify is a trademark of Shopify Inc.

  • Craft Lab S.L.U. is solely responsible for the App, its content, maintenance, and support.
  • Shopify Inc. bears no responsibility or liability for any issues arising from the installation or use of RefBoost, including but not limited to any faults, errors, or data loss.
  • Any claims or disputes related to the App shall be directed to Craft Lab S.L.U., not to Shopify.

13. Indemnification

You agree to indemnify, defend, and hold harmless Craft Lab S.L.U., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the App; (b) your violation of these Terms; (c) your violation of applicable laws or regulations; or (d) your referral program content or communications.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date and, where practicable, through the App's interface. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you should uninstall the App.

15. Termination

  • You may terminate these Terms at any time by uninstalling the App from your Shopify store.
  • We may suspend or terminate your access to the App at any time for violation of these Terms, with or without notice.
  • Upon termination, all rights granted to you under these Terms cease immediately. Sections 6, 10, 11, 13, and 16 survive termination.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Spain, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Spain.

Before initiating formal legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at privacy@appwarp.io. We will attempt to resolve the dispute within 30 days.

17. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Craft Lab S.L.U. regarding the App.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.
  • No Exclusivity: These Terms do not grant you any exclusive rights. Nothing in these Terms restricts your ability to use competing applications or services.
