Terms of Service

These Terms of Service ("Terms") govern your access to and use of StockForge (the "App"), provided by Craft Lab, S.L.U. ("we", "us", "our"), a company registered in Spain (NIF B42627893). By installing or using the App, you ("Merchant" or "you") agree to these Terms. If you do not agree, do not install or use the App.

1. Description of Service

StockForge is a Shopify application that synchronizes inventory in real time. Its features include:

• SKU group sync — keep inventory consistent across products and variants that share a SKU.
• Multi-location — synchronize stock across your Shopify locations.
• Bundle and kit tracking — component-level inventory for bundles and kits.
• Order and refund sync — adjust stock automatically to help prevent overselling.
• Low-stock alerts, analytics, CSV import/export, barcode sync, and exclusion rules (availability varies by plan).

2. Account and Installation

To use the App you must have an active Shopify store and the authority to act on its behalf. By installing the App you authorize it to access your store via the Shopify Admin API using the scopes read_inventory, write_inventory, read_products, write_products, read_locations, and read_orders. You are responsible for maintaining the security of your Shopify account and for all activity under it.

3. Plans and Pricing

StockForge is offered on the following plans:

Paid plans include a 7-day free trial. Annual billing is available and saves approximately 17% compared to monthly billing. All charges are billed and collected through the Shopify Billing API and appear on your Shopify invoice; we do not process card payments directly. Prices are exclusive of any applicable taxes. We may change pricing or plan features with reasonable advance notice; changes take effect on your next billing cycle. Downgrading or uninstalling stops future charges and may reduce available features and limits. Except where required by law, fees already charged are non-refundable, and refund eligibility is governed by Shopify's billing policies.

4. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose or in violation of Shopify's policies.
• Reverse-engineer, decompile, or attempt to extract the source code of the App.
• Interfere with, disrupt, or overload the App or its infrastructure.
• Attempt to gain unauthorized access to the App, other accounts, or our systems.
• Resell, sublicense, or redistribute the App without our written authorization.

5. Merchant Responsibilities

You are responsible for configuring the App correctly, including SKU groups, bundle mappings, locations, thresholds, and exclusion rules. You remain solely responsible for your inventory decisions and for verifying that stock levels are accurate. StockForge is a tool that assists inventory management; it does not replace your own review and oversight. You agree to use the App in compliance with applicable laws and with Shopify's terms and policies.

6. Intellectual Property

The App, including its code, design, and documentation, is the exclusive property of Craft Lab, S.L.U. and is protected by Spanish, EU, and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your own business while your subscription is active.

7. Data and Privacy

Your use of the App is also governed by our Privacy Policy. For store and End Customer data processed through the App, you are the data controller and we act as your data processor, processing data only to provide the App and on your instructions.

8. Third-Party Services

The App relies on the Shopify platform and on infrastructure providers (including Railway for hosting and Resend for transactional email). Your use of Shopify is governed by Shopify's own terms. We are not responsible for the availability, performance, or policies of third-party services we do not control.

9. Service Availability

We aim to keep the App available and reliable but do not guarantee uninterrupted or error-free operation. The App depends on the Shopify platform and third-party infrastructure. We may perform maintenance and may modify, suspend, or discontinue features. Support is available at support@appwarp.io; priority support is included with the Business plan.

10. Disclaimer of Warranties

The App is provided "as is" and "as available", without warranties of any kind, express or implied, to the maximum extent permitted by law. We do not warrant that inventory synchronization will be uninterrupted, instantaneous, or error-free, and we are not responsible for overselling, stockouts, lost sales, or other losses arising from sync timing, Shopify API rate limits or outages, third-party failures, or misconfiguration. You are responsible for verifying inventory accuracy.

11. Limitation of Liability

To the maximum extent permitted by law, Craft Lab, S.L.U. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the App shall not exceed the amount you paid for the App in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. Shopify Relationship

StockForge is an independent application and is not endorsed by or affiliated with Shopify, Inc. beyond participation in the Shopify App Store. "Shopify" is a trademark of Shopify, Inc. Your relationship with Shopify is governed by your agreements with Shopify.

13. Indemnification

You agree to indemnify and hold harmless Craft Lab, S.L.U. from any claims, damages, losses, liabilities, and expenses arising from your use of the App, your inventory or business decisions, or your violation of these Terms or applicable law.

14. Modifications to Terms

We may modify these Terms from time to time. Material changes will be reflected by the "Last updated" date and, where appropriate, communicated within the App. Continued use of the App after changes take effect constitutes acceptance of the updated Terms.

15. Termination

You may stop using the App at any time by uninstalling it from your Shopify admin, which ends future billing. We may suspend or terminate your access if you breach these Terms or to protect the App or other users. On termination, your data is handled as described in our Privacy Policy.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of Spain and the European Union. The parties will attempt to resolve any dispute informally first. Any dispute that cannot be resolved informally shall be subject to the jurisdiction of the courts of Elche, Alicante (Spain), without prejudice to any mandatory consumer-protection rights you may have in your country of residence.

17. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce a right is not a waiver of it. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the App.
